Corporate Terms

1. Corporate Engagement

These Corporate Terms & Conditions apply to all business-to-business (B2B) engagements between Nazir Abbas Digital Consulting and registered businesses, agencies, startups, or enterprises. By signing a proposal or purchase order, the authorised representative of the client organisation agrees to these terms on behalf of their company.

2. Service Agreements

Corporate engagements are formalised through a Service Agreement or Statement of Work (SOW) that specifies deliverables, milestones, timelines, and pricing. All agreements require a duly authorised signature from the client organisation.

• Monthly retainer agreements require 30 days written notice to terminate
• Project-based agreements include defined start and end dates
• Change requests require a formal Change Order approved in writing

3. Invoicing & Payment

• Invoices are issued on project milestone completion or monthly for retainer agreements
• Payment terms: net 14 days from invoice date
• Late payment incurs an interest charge of 2% per month on outstanding amounts
• All amounts in USD or AED as specified in the SOW
• Wire transfers, corporate cheques, or agreed platform payments accepted

4. Confidentiality & NDA

All corporate engagements are subject to strict confidentiality. Both parties agree not to disclose proprietary business information, trade secrets, client data, or project details to any third party without prior written consent. A formal Non-Disclosure Agreement (NDA) can be executed upon request prior to project commencement.

5. Data Protection & GDPR/UAE Compliance

We comply with applicable data protection regulations, including UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection. Any personal data processed on behalf of the corporate client will be subject to a Data Processing Agreement (DPA) where applicable.

6. Intellectual Property

Custom deliverables produced exclusively for the corporate client transfer to the client upon full payment. Pre-existing tools, frameworks, or proprietary methodologies developed by Nazir Abbas Digital Consulting remain our intellectual property and are licensed, not sold, to the client for agreed use.

7. Service Level Expectations

• Standard response time: within 1 business day
• Urgent matters: within 4 business hours (for active retainer clients)
• Project updates provided at agreed intervals (weekly/biweekly)
• Dedicated point of contact assigned for all corporate accounts

8. Limitation of Liability

Our maximum aggregate liability under any corporate engagement shall not exceed the total fees paid by the client in the 12 months preceding the claim. We shall not be liable for any indirect, consequential, or punitive damages.

9. Governing Law & Dispute Resolution

These terms are governed by UAE law. Disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, matters may be referred to binding arbitration in Dubai under DIAC rules.
